Terms of Use and Platform Agreement

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM. BY ACCESSING OR USING CAREERSCRIPT IN ANY MANNER, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.
These Terms of Use and Platform Agreement (the "Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and CareerScript, LLC, a North Carolina limited liability company ("CareerScript," "we," "us," or "our"), governing your access to and use of the CareerScript platform, website, application programming interfaces, artificial intelligence features, assessments, reports, and all related services, tools, and content (collectively, the "Platform").
Your use of the Platform constitutes your unconditional acceptance of these Terms. If you are using the Platform on behalf of an employer, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to that entity.
1. Nature of the Platform; No Professional Services
1.1 CareerScript is a structured, data-driven decision-support platform designed to assist individuals in evaluating and organizing career-related information and decisions. The Platform uses structured assessments, algorithmic analyses, artificial intelligence-assisted interpretation, and curated content to generate career-related insights, pathway suggestions, and goal frameworks.
1.2 CareerScript is not a licensed career counselor, therapist, psychologist, attorney, financial advisor, or employment agency. Nothing on the Platform constitutes, or should be construed as, professional career counseling, legal advice, financial advice, psychological assessment, therapeutic services, or any other form of regulated professional service.
1.3 The Platform does not act as a recruiter, staffing firm, headhunter, employment agency, or job placement service under any applicable federal or state law, including but not limited to the laws of North Carolina. CareerScript makes no representations on your behalf to any third party, including any prospective employer.
1.4 All outputs generated by the Platform, including but not limited to archetype classifications, pathway rankings, direction scripts, coaching session transcripts, goal recommendations, job match suggestions, and market direction signals, are provided for informational and decision-support purposes only. Such outputs reflect algorithmic and AI-assisted analysis of data you provide and do not constitute professional advice, clinical assessments, or binding recommendations of any kind.
1.5 You acknowledge that the Platform incorporates third-party artificial intelligence services, including large language model (LLM) technology, which may produce outputs that are incomplete, inaccurate, or inconsistent. CareerScript does not warrant the accuracy, completeness, or reliability of any AI-generated content.
1.6 You should consult qualified licensed professionals — including licensed career counselors, attorneys, financial advisors, and/or healthcare providers — before making significant professional, financial, legal, or personal decisions.
2. Eligibility; Prohibited Users
2.1 You must be at least eighteen (18) years of age to access or use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement under applicable law.
2.2 The Platform is not directed to, and may not be used by, individuals under the age of 18. If CareerScript learns that a user is under 18 years of age, CareerScript will terminate that user's access and delete any associated data to the extent technically practicable.
2.3 CareerScript reserves the right to refuse, suspend, or terminate access to the Platform for any user who violates these Terms, provides false eligibility information, or whose use poses legal, reputational, or operational risk to CareerScript.
3. No Guarantees of Outcomes
3.1 Career outcomes depend on an extensive range of variables entirely outside the control and scope of the Platform, including individual qualifications, labor market conditions, employer hiring decisions, economic factors, credentialing requirements, geographic constraints, personal circumstances, and the actions or omissions of third parties.
3.2 CareerScript makes no guarantee, representation, or warranty — express or implied — regarding:
• Your likelihood of obtaining employment, a promotion, or a career transition;
• The accuracy of any archetype classification, career pathway ranking, compensation estimate, or market direction signal generated by the Platform;
• The suitability of any recommended pathway, role title, company, credential, or strategy for your specific circumstances;
• The current availability or hiring status of any employer or position referenced in or generated by the Platform; or
• Any specific professional, financial, or personal outcome resulting from your use of the Platform.
3.3 Past performance of the Platform's methodologies with respect to other users does not guarantee or imply similar results for you. Any testimonials or case studies presented by CareerScript are illustrative and not representative of all user outcomes.
4. User Responsibilities and Representations
4.1 You retain full and exclusive responsibility for all decisions you make based on your use of the Platform, including any career decisions, professional commitments, financial expenditures, or other actions taken in reliance on Platform outputs.
4.2 You represent and warrant that:
• All information you provide to the Platform is truthful, accurate, and complete to the best of your knowledge;
• You will not provide false, fraudulent, or misleading information to the Platform or to CareerScript;
• You will not use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
• You will not access the Platform using automated means, bots, scrapers, or data harvesting tools without CareerScript's express written consent;
• You will not reverse engineer, decompile, disassemble, or otherwise attempt to extract source code, underlying algorithms, methodologies, or proprietary models from the Platform;
• You will not use the Platform to develop, train, or improve a competing product or service without CareerScript's express written consent;
• You will not sublicense, resell, rent, lease, or transfer your access rights to the Platform to any third party; and
• You will not attempt to gain unauthorized access to any part of the Platform or its underlying infrastructure.
4.3 CareerScript is not responsible for decisions made based on inaccurate, incomplete, or misleading information provided by you. You acknowledge that the quality of the Platform's outputs is directly dependent on the quality and accuracy of the inputs you provide.
5. Intellectual Property Rights
5.1 CareerScript and its licensors retain all right, title, and interest in and to the Platform and all associated intellectual property, including without limitation: the CareerScript name, logo, and brand elements; the platform's underlying software, algorithms, scoring methodologies, archetype frameworks, pathway libraries, assessment instruments, and data models; all content, text, graphics, and user interface elements; and all improvements, modifications, and derivative works thereof (collectively, "CareerScript IP").
5.2 Nothing in these Terms grants you any ownership interest in CareerScript IP. Your access to the Platform constitutes a limited, personal, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose and in accordance with these Terms.
5.3 You acknowledge that the Vision Map assessment, Dial Rounds methodology, archetype classification system, Strategic Pathway Engine, Direction Script framework, and all related scoring methodologies are proprietary to CareerScript and constitute trade secrets and copyrighted works. You may not reproduce, distribute, publish, display, or create derivative works from any such methodologies or outputs without CareerScript's express prior written consent.
5.4 User-Generated Content. You retain ownership of any original content you provide to the Platform ("User Content"). By submitting User Content, you grant CareerScript the license set forth in Section 6 of these Terms. You represent and warrant that you own or have the necessary rights to submit all User Content and that such content does not infringe the intellectual property rights of any third party.
5.5 Feedback. If you provide CareerScript with suggestions, ideas, or feedback regarding the Platform ("Feedback"), you hereby assign to CareerScript all right, title, and interest in such Feedback, including all intellectual property rights therein. CareerScript may use Feedback for any purpose without compensation or attribution to you.
6. Data Usage, License, and Privacy
6.1 License Grant. By submitting information to the Platform, including your responses to assessments, coaching session inputs, goal entries, and any other data you provide (collectively, "User Data"), you grant CareerScript a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, copy, store, process, transmit, analyze, and create derivative works from your User Data for the purposes described in Section 6.2.
6.2 Permitted Uses of User Data. CareerScript may use User Data for the following purposes:
• Operating, maintaining, and improving the Platform and its underlying models, algorithms, and methodologies;
• Developing, training, and refining artificial intelligence and machine learning models, including models used within the Platform;
• Generating aggregated, de-identified, or anonymized datasets, benchmarks, and analytics;
• Conducting research, product development, and business development activities;
• Producing commercial offerings, including career intelligence reports, market analytics, and institutional products derived from aggregated user data; and
• Complying with applicable legal obligations.
6.3 Personally Identifiable Information. CareerScript will not sell your personally identifiable information ("PII") to third parties without your express prior consent. However, you acknowledge and agree that CareerScript may share PII with trusted third-party service providers who assist in operating the Platform, subject to confidentiality obligations, and may disclose PII as required by law, regulation, legal process, or governmental request.
6.4 Aggregated and Anonymized Data. You acknowledge and agree that CareerScript may freely use, commercialize, license, and sell aggregated, de-identified, or anonymized data derived from User Data, and that such data does not constitute PII for purposes of these Terms. Your rights in User Data do not extend to such aggregated or anonymized datasets.
6.5 AI Processing Disclosure. You acknowledge that the Platform transmits certain User Data to third-party artificial intelligence service providers for processing and response generation. Such processing is subject to the terms and privacy policies of those third-party providers, which CareerScript does not control. By using the Platform, you consent to such transmission and processing.
6.6 Data Accuracy. You are solely responsible for the accuracy and completeness of User Data you submit. CareerScript has no obligation to verify the accuracy of User Data and shall not be liable for any consequences arising from inaccurate or incomplete User Data.
6.7 Privacy Policy. Your use of the Platform is also governed by CareerScript's Privacy Policy, which is incorporated herein by reference. To the extent of any conflict between these Terms and the Privacy Policy regarding data practices, the Privacy Policy shall control.
6.8 State Privacy Laws. To the extent applicable, CareerScript acknowledges and complies with its obligations under applicable state consumer privacy laws, including but not limited to the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and similar laws in other jurisdictions. Nothing in these Terms limits rights you may have under applicable privacy law.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
7.1 To the maximum extent permitted by applicable law, CareerScript expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
• Any warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
• Any warranty regarding the accuracy, completeness, timeliness, reliability, or suitability of any content, assessment output, pathway recommendation, compensation data, market direction signal, or other information generated by or available through the Platform;
• Any warranty that the Platform will meet your specific requirements or produce any particular professional or personal outcome; and
• Any warranty arising from course of dealing, usage of trade, or course of performance.
7.2 CareerScript does not warrant that any information provided through the Platform reflects current labor market conditions, employer hiring practices, salary ranges, or regulatory requirements. Labor market data, job listings, and career intelligence referenced by the Platform may be outdated, incomplete, or inaccurate.
7.3 Some jurisdictions do not allow the disclaimer of implied warranties. To the extent such jurisdictions apply, the foregoing disclaimers shall apply to the fullest extent permitted by law.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREERSCRIPT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO CAREERSCRIPT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
8.1 Exclusion of Consequential Damages. In no event shall CareerScript, its officers, directors, members, employees, agents, contractors, licensors, or successors be liable for any:
• Indirect, incidental, special, exemplary, punitive, or consequential damages of any kind;
• Loss of profits, revenue, business, data, goodwill, or anticipated savings;
• Damages resulting from career decisions, professional transitions, or employment actions taken in reliance on Platform outputs;
• Damages resulting from unauthorized access to or alteration of your User Data; or
• Damages arising from the acts or omissions of third parties, including prospective employers, AI service providers, or other users;
whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if CareerScript has been advised of the possibility of such damages.
8.2 Essential Basis. You acknowledge that the limitations of liability set forth in this Section reflect a reasonable and fair allocation of risk between the parties and are an essential basis of the bargain between CareerScript and you. Without these limitations, CareerScript would not be able to provide the Platform at the pricing offered.
8.3 Jurisdictional Variation. Some jurisdictions do not allow the exclusion or limitation of certain categories of damages. In such jurisdictions, the limitations and exclusions in this Section shall apply to the fullest extent permitted by law. Nothing in this Section limits CareerScript's liability for fraud, willful misconduct, or death or personal injury caused by CareerScript's gross negligence.
9. Indemnification
9.1 You agree to defend, indemnify, and hold harmless CareerScript, LLC and its officers, directors, members, employees, contractors, agents, licensors, and successors (collectively, the "CareerScript Parties") from and against any and all claims, demands, suits, proceedings, liabilities, losses, damages, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
• Your use of or access to the Platform;
• Your inability to use or access the Platform for any reason;
• Your violation of these Terms or any applicable law or regulation;
• Your violation of any third party's rights, including intellectual property rights or privacy rights;
• Any User Content you submit to the Platform, including any claim that such content causes damage to a third party; or
• Any career decision, professional action, or financial commitment you make in reliance on Platform outputs.
9.2 CareerScript reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with CareerScript's defense of any such claim.
10. Termination and Suspension
10.1 CareerScript may, in its sole discretion, suspend, restrict, or permanently terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to:
• Violation of these Terms;
• Fraudulent, abusive, or unlawful conduct;
• Conduct that poses a legal, operational, or reputational risk to CareerScript; or
• Cessation or substantial modification of the Platform.
10.2 Upon termination, your license to access and use the Platform shall immediately cease. Sections 5, 6, 7, 8, 9, 11, 12, 13, and 14 of these Terms shall survive termination and remain in full force and effect.
10.3 You may discontinue your use of the Platform at any time. Termination of your use does not affect CareerScript's rights with respect to User Data previously submitted, as described in Section 6.
11. Platform Evolution and Modifications
11.1 CareerScript is an evolving system. CareerScript reserves the right, in its sole discretion, to modify, suspend, discontinue, or restructure the Platform or any feature, assessment, methodology, scoring model, archetype framework, or output at any time, without prior notice and without liability to you.
11.2 CareerScript may also modify these Terms at any time. When CareerScript makes material changes to these Terms, CareerScript will update the Effective Date at the top of this Agreement and, where reasonably practicable, provide notice to users through the Platform or by email. Your continued use of the Platform following the posting of modified Terms constitutes your binding acceptance of those modifications. If you do not agree to the modified Terms, you must immediately cease using the Platform.
11.3 CareerScript encourages you to review these Terms periodically. The most current version of these Terms will be posted on the CareerScript website.
12. Dispute Resolution; Binding Arbitration; Class Action Waiver
THIS SECTION CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THIS SECTION CAREFULLY.
12.1 Informal Resolution. Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute with CareerScript informally by sending a written description of the dispute to CareerScript at its registered address. The parties agree to make a good-faith effort to resolve the dispute within thirty (30) days of receipt of such notice.
12.2 Binding Arbitration. If the parties are unable to resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform — including questions of arbitrability — shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator and shall take place in Mecklenburg County, North Carolina, unless the parties agree otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12.3 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING, IN ARBITRATION OR IN COURT, AGAINST CAREERSCRIPT. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
12.4 Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdiction, provided the action remains in small claims court and is not removed or appealed to a court of general jurisdiction.
12.5 Injunctive Relief. Notwithstanding the arbitration requirement, CareerScript may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information without first engaging in informal resolution or arbitration.
12.6 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to any conflict of law principles that would cause the application of the laws of another jurisdiction.
12.7 Venue. To the extent any dispute is not subject to arbitration, you irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Mecklenburg County, North Carolina, and you waive any objection to such jurisdiction and venue.
12.8 Time Limitation on Claims. Any claim or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, regardless of any longer statute of limitations that might otherwise apply.
13. Force Majeure
CareerScript shall not be liable for any failure or delay in the performance of its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government actions, internet or telecommunications failures, third-party service provider outages, cyberattacks, power failures, or labor disputes. In such events, CareerScript's performance obligations shall be excused for the duration of the force majeure event.
14. General Provisions
14.1 Entire Agreement. These Terms, together with the CareerScript Privacy Policy and any other agreements expressly incorporated herein by reference, constitute the entire agreement between you and CareerScript with respect to the Platform and supersede all prior or contemporaneous agreements, representations, warranties, understandings, and communications, whether oral or written, between the parties regarding the subject matter hereof. No prior drafts, negotiations, or representations shall be used in the interpretation or construction of these Terms.
14.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
14.3 Waiver. CareerScript's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision at any time. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of CareerScript.
14.4 Assignment. You may not assign, transfer, or delegate your rights or obligations under these Terms without CareerScript's prior written consent. CareerScript may freely assign these Terms, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your consent. Any purported assignment in violation of this Section is void.
14.5 No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties hereto and their respective permitted successors and assigns. Nothing in these Terms shall create or be deemed to create any rights in any third party.
14.6 Notices. Notices to CareerScript required or permitted under these Terms shall be in writing and delivered to CareerScript's registered address in North Carolina. CareerScript may provide notices to you via the email address or contact information associated with your account, or through conspicuous posting on the Platform.
14.7 Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
14.8 Language. These Terms were drafted in the English language. In the event of any conflict between an English version and any translation, the English version shall control.
15. Acknowledgment and Acceptance
BY ACCESSING OR USING THE PLATFORM IN ANY MANNER, INCLUDING BROWSING, CREATING AN ACCOUNT, COMPLETING ANY ASSESSMENT, OR USING ANY FEATURE, YOU ACKNOWLEDGE THAT:
• You have read and understand these Terms in their entirety;
• You agree to be legally bound by these Terms;
• You are at least 18 years of age and have the legal capacity to enter into a binding contract;
• You are not relying on any representations, warranties, or promises not expressly set forth in these Terms; and
• These Terms form a binding legal agreement between you and CareerScript, LLC.
